This Agreement governs third parties who provide goods, services, sponsorships, or marketplace applications through or in connection with EnthiosHub ("Vendor", "Partner", "You"), including sponsors, service vendors, and marketplace/app developers. Applicable only where You engage with the Platform in a vendor/partner capacity.
This Agreement applies to: (a) Sponsors who fund/promote Events; (b) Service Vendors engaged by Organizers or the Company; and (c) Marketplace App/Integration Partners who publish applications or integrations (MarketplaceApp) on the Platform.
1.2
The specific commercial terms (scope, fees, revenue share, MarketplaceCommission) are set out in the applicable order form, listing, or written arrangement, which forms part of this Agreement.
Provide goods/services/applications as described, lawfully, and to professional standards.
2.2
Hold all licences, rights, and approvals required, and comply with Applicable Law (including data-protection, IP, consumer, and tax law).
2.3
For app/integration Partners: comply with the Platform's technical, security, and data-handling requirements; not introduce malware; access only the data necessary; and process personal data only per instructions and the DPDP Act.
2.4
Obtain all rights/consents for any Content, trademarks, or materials You supply.
Each party retains its own IP. You grant the Company a licence to display Your name, logo, and listing as needed to provide and promote the arrangement. The Company grants no rights in the Platform beyond limited use necessary for the integration.
Each party shall keep the other's confidential information secret and use it only for the purposes of this Agreement. Personal data shared shall be processed only per Applicable Law and the Privacy Policy.
You shall indemnify the Company against all claims, losses, and liabilities arising from Your goods/services/applications, Your Content, Your breach of this Agreement, or Your violation of Applicable Law or third-party rights.
6.2
The Company's liability is subject to the caps in the Terms & Conditions and Limitation of Liability policy.
Independent contractors; no partnership/agency. Governing law: India; dispute resolution per the Terms & Conditions. Survival, severability, waiver, and entire-agreement provisions apply.
Applicable only if EnthiosHub operates sponsor/vendor/marketplace-app features. Review by a licensed advocate recommended before publication.
